Terms of Service

These Terms of Service ("Terms") are a binding agreement between you ("you", "User") and WISE INTERNATIONAL LLC, a Wyoming limited liability company doing business as AgentPresent ("Company", "we", "us", or "AgentPresent"). They govern access to and use of agentpresent.app, the AgentPresent iPad application, related APIs, share links, and any content or features we make available (collectively, the "Service").
By creating an account, completing a professional attestation, clicking to accept, downloading the app, accessing a share link as an agent user, or otherwise using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service. If you use the Service on behalf of an agency, IMO, broker-dealer, or other entity, you represent that you have authority to bind that entity, and "you" includes that entity.
1. Commercial B2B tool — not a consumer product
The Service is offered solely as a business-to-business professional tool for licensed insurance and/or financial professionals and their supervising firms. You acknowledge that you are using the Service for commercial, professional purposes and not as a consumer purchasing goods or services for personal, family, or household use. To the maximum extent permitted by law, consumer protection statutes that apply only to consumer transactions do not apply to your use of the Service.
2. What the Service is — and is not
AgentPresent is a supplemental visual aid that helps licensed professionals display side-by-side product specifications during client meetings. The Service:
- Does not provide quotes, bind coverage, underwrite risks, or issue policies
- Does not produce official carrier illustrations or prospectus materials
- Does not recommend, endorse, rank, score, or suitability-match products for any consumer or client
- Does not provide insurance, investment, tax, legal, or compliance advice
- Does not replace carrier illustrations, applications, disclosure forms, or your firm's approved sales process
All case-specific numbers (premiums, face amounts, limits, and similar fields) are entered by you from carrier documents or other sources you control. Column order, highlighted rows, verdict cues, cheat sheets, and playbooks are for your internal discussion use only and do not constitute advice to any client. You alone are solely responsible for any recommendation, advice, solicitation, sale, suitability determination, or regulatory filing.
3. Eligibility and professional attestation
You may use agent workspace features only if you are: (a) a currently licensed insurance and/or financial professional authorized to conduct business in the relevant jurisdiction(s); or (b) an employee or contractor acting under the direct supervision of such a licensed professional or firm, with authority to access the data you enter. You must complete any in-app professional attestation truthfully before using comparison, upload, present, export, or share features.
You represent and warrant that all registration and attestation information — including any National Producer Number (NPN) — is accurate and complete. NPN and license status are self-reported and are not verified against NIPR or any regulator unless we expressly state otherwise in a signed writing. We may deny, suspend, or terminate access if we reasonably suspect you are unlicensed, misrepresenting credentials, or using the Service outside its intended professional scope. We have no duty to verify your license.
4. Account security
You are responsible for maintaining the confidentiality of your account credentials, magic-link emails, devices, and any PIN or kiosk settings. You must promptly notify us of unauthorized access at support@agentpresent.app. You are responsible for all activity under your account, whether or not authorized by you, except to the extent caused solely by our willful misconduct. We may treat actions taken through your account as authorized by you.
5. Your responsibilities
- Independently verify every specification, illustration number, and display against current carrier illustrations, producer guides, and policy documents before any client presentation
- Provide official carrier illustrations and all required disclosures at point of sale; do not rely on the Service as a substitute
- Comply with all applicable federal, state, SRO, carrier, and firm rules (including, where applicable, CMS Medicare marketing guidelines and FINRA/securities rules for variable products)
- Not present unverified PDF uploads or AI-extracted data to clients via client mode, PDF export, share links, or any other channel until you have personally confirmed accuracy
- Not misrepresent AgentPresent output as a quote, binding offer, carrier-approved illustration, recommendation, or official comparison
- Obtain any client consents and firm approvals required before sharing links, displaying client data, or handing a device to a client
- Ensure you have lawful authority to upload documents and to enter any client or prospect information into the Service
6. Acceptable use
You will not, and will not permit others to:
- Use the Service for any unlawful purpose, or to violate insurance, securities, privacy, consumer-protection, export, sanctions, or intellectual-property laws
- Use the Service to solicit, market to, or present to consumers if you are not appropriately licensed and authorized
- Scrape, crawl, spider, harvest, or use automated means to access the Service or extract library data, except via documented APIs we expressly authorize in writing
- Reverse engineer, decompile, disassemble, or attempt to derive source code or non-public APIs, except to the limited extent such restriction is prohibited by law
- Probe, scan, or test the vulnerability of the Service, bypass security or access controls, or interfere with Service integrity or performance
- Upload malware, or content you do not have rights to use; or upload documents containing information you are not authorized to process with our subprocessors (including AI providers)
- Impersonate any person or entity, misrepresent your affiliation or license status, or falsify attestation records
- Resell, sublicense, white-label, or provide the Service to third parties as a service bureau without our prior written consent
- Use share links or client mode to publish false, misleading, or defamatory content, or to harass any person
- Circumvent subscription, quota, or feature gates, or share accounts in a manner that evades per-user licensing
We may investigate suspected violations and cooperate with law enforcement. Violation of this Section is grounds for immediate suspension or termination without refund (subject to Apple's rules for App Store purchases).
7. Product library data
Library specifications are derived from carrier producer guides, BGA/FMO public agent resources, CMS standardized benefit references, and similar materials. They are reviewed internally but are not certified, endorsed, or guaranteed by any carrier or regulator, may be incomplete, delayed, or incorrect, and may become outdated without notice. You must independently confirm all data before use. We disclaim all warranties regarding accuracy, completeness, currency, or fitness for a particular purpose of library data.
8. Agent PDF uploads and AI processing
When you upload a document, you represent and warrant that you have all rights and authority needed to upload and process it, that it is authentic to the best of your knowledge, and that you accept sole responsibility for extracted data and any presentation using it. AgentPresent does not verify PDF authenticity, completeness, or regulatory approval. Uploads are processed on our servers with third-party AI assistance, may be stored for audit and security, and remain private to your account except as needed to operate the Service, comply with law, or as you authorize (including optional library submission). Optional library submission grants us a worldwide, royalty-free, perpetual license to audit and, after human review, publish redacted product specifications in our library. Monthly extract limits and quotas may apply and may change.
9. Client share links and presentation mode
Share links and client presentation mode display read-only summaries you prepare. Recipients generally do not need an account. Shared content may update in real time while you edit. Share links are unlisted but are not secret: anyone with the URL may access the content unless you revoke the link. You are solely responsible for link distribution, client consent, firm policy compliance, and timely revocation. We are not responsible for unauthorized viewing resulting from your distribution or failure to revoke a link.
10. Subscriptions, trials, and billing
Paid plans (including any introductory offer such as a free first month) are billed through Apple In-App Purchase. Payment method, renewal, cancellation, billing disputes, and refunds are governed by Apple's terms and App Store policies. Pricing on our website is for reference only; the price charged is the price displayed at purchase in the iPad app. Subscriptions auto-renew unless cancelled in accordance with Apple's process at least 24 hours before the end of the current period. Introductory offers are available only as configured in App Store Connect (typically new subscribers only) and may be modified or withdrawn prospectively. Except where required by Apple or applicable law, fees are non-refundable by us. Free tiers and features may be changed or discontinued at any time.
11. Third-party services
The Service depends on third parties (including Apple, hosting, authentication, analytics or crash reporting if enabled, payment/subscription processors, and AI providers). We are not responsible for third-party outages, policy changes, data handling by those parties beyond our contracts with them, or your use of third-party integrations (including CRM connectors). Your use of Apple services is also subject to Apple's terms.
12. Intellectual property and feedback
We and our licensors own all rights in the Service, software, UI, trademarks, documentation, and library structure. Except for the limited right to use the Service under these Terms, no rights are granted. You retain rights in your uploaded PDFs and case data. You grant us a worldwide, non-exclusive, royalty-free license to host, process, transmit, display, and create derivative works of your content solely as needed to provide, secure, audit, and improve the Service.
If you provide feedback, ideas, or suggestions, you grant us an unrestricted, irrevocable, perpetual, royalty-free license to use them without obligation or attribution.
13. Disclaimers
To the maximum extent permitted by law:
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, SECURE, OR THAT ANY DATA, LIBRARY SPEC, AI EXTRACTION, OR OUTPUT WILL BE ACCURATE, COMPLETE, OR CURRENT. NO ORAL OR WRITTEN INFORMATION FROM US CREATES A WARRANTY. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS; IN THOSE JURISDICTIONS OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED.
14. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WISE INTERNATIONAL LLC (DBA AGENTPRESENT) AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, CONTRACTORS, LICENSORS, AND SUPPLIERS (COLLECTIVELY, the "Company Parties") SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; OR FOR LOST PROFITS, LOST REVENUE, LOST COMMISSIONS, LOST DATA, COST OF SUBSTITUTE SERVICES, BUSINESS INTERRUPTION, REPUTATIONAL HARM, REGULATORY FINES OR SANCTIONS, LICENSE SUSPENSION, CLIENT CLAIMS, E&O CLAIMS, OR COST OF DEFENSE — WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE — ARISING OUT OF OR RELATED TO THESE TERMS, THE SERVICE, OR ANY CLIENT PRESENTATION OR SALE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY PARTIES' TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100). MULTIPLE CLAIMS WILL NOT ENLARGE THIS CAP. THESE LIMITATIONS ARE AN ESSENTIAL BASIS OF THE BARGAIN AND APPLY EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
Nothing in these Terms limits liability that cannot be limited under applicable law (for example, certain liabilities for fraud or willful misconduct where such limitation is prohibited).
15. Indemnification
You will defend, indemnify, and hold harmless the Company Parties from and against any claim, demand, suit, investigation, proceeding, loss, liability, damage, fine, penalty, cost, and expense (including reasonable attorneys' fees and costs) arising out of or related to: (a) your use of the Service, client presentations, solicitations, or sales activities; (b) your breach of these Terms or of your representations and warranties; (c) your content, uploads, share links, or exported materials; (d) your violation of any law, regulation, SRO rule, carrier rule, or firm policy (including insurance, securities, privacy, and marketing rules); (e) any allegation that AgentPresent output constituted a quote, illustration, recommendation, suitability analysis, or advice; (f) disputes between you and any client, prospect, carrier, IMO, or regulator; or (g) unauthorized access to the Service resulting from your failure to safeguard credentials or devices.
We may assume exclusive defense and control of any matter subject to indemnification (at your expense). You will not settle any claim that imposes obligation or admission on a Company Party without our prior written consent.
16. Suspension and termination
We may suspend, limit, or terminate your access immediately, with or without notice, if we reasonably believe you have violated these Terms, pose security, legal, or reputational risk, fail eligibility requirements, abuse quotas, or if required by law or a platform provider. We may also discontinue the Service or any feature at any time. You may stop using the Service at any time; App Store subscription cancellation must be done through Apple. Upon termination, your right to use the Service ends. We may delete or retain data as described in the Privacy Policy. Sections that by their nature should survive (including Sections 1–2, 5–15, 17–22) survive termination. Termination does not entitle you to a refund from us except as required by Apple or law.
17. Dispute resolution; binding arbitration; class waiver
Informal resolution. Before filing a claim, you agree to email support@agentpresent.app a brief description of the dispute and seek good-faith resolution for thirty (30) days.
Binding arbitration. Except for the Excluded Claims below, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The seat of arbitration shall be Cheyenne, Wyoming, unless the parties agree otherwise. The language shall be English. The arbitrator may award individual relief only. Judgment on the award may be entered in any court of competent jurisdiction.
Class and jury waiver. YOU AND THE COMPANY WAIVE ANY RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION. CLAIMS MAY BE BROUGHT ONLY IN YOUR OR THE COMPANY'S INDIVIDUAL CAPACITY.
Excluded Claims. Either party may bring an individual action in small-claims court of competent jurisdiction, or seek temporary or preliminary injunctive relief in court to protect intellectual property or unauthorized access to the Service, without waiving arbitration for other claims.
Opt-out. You may opt out of arbitration within thirty (30) days of first accepting these Terms by emailing support@agentpresent.app with subject line "Arbitration Opt-Out" and your account email. If you opt out, Section 18 (courts) applies to disputes instead of arbitration, but the class waiver still applies to the maximum extent permitted by law.
18. Governing law and venue
These Terms are governed by the laws of the State of Wyoming, USA, excluding conflict-of-law rules. Subject to Section 17, exclusive venue for any permitted court action lies in the state or federal courts located in Wyoming, and you consent to personal jurisdiction there. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
19. Export and sanctions
You may not use or export the Service in violation of U.S. export control or sanctions laws. You represent that you are not located in a sanctioned jurisdiction and are not a prohibited party under U.S. government lists.
20. Changes to these Terms
We may modify these Terms at any time. We will post the updated Terms with a new "Last updated" date. For material changes, we may also provide notice via email or in-app notice. Except where prohibited by law, continued use of the Service after the effective date constitutes acceptance. If you do not agree, you must stop using the Service and cancel any subscription through Apple.
21. General
These Terms, together with the Privacy Policy and any in-app attestations, are the entire agreement between you and us regarding the Service and supersede prior agreements on that subject. If any provision is held unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remainder will continue in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, corporate reorganization, or sale of assets. Notices to you may be sent to your account email. Notices to us must be sent to support@agentpresent.app. There are no third-party beneficiaries except the Company Parties with respect to Sections 13–15. Force majeure: we are not liable for delays or failures due to events beyond our reasonable control.
